W praktyce istotne jest zidentyfikowanie w\u015br\u00f3d transakcji restrukturyzacyjnych transakcji podlegaj\u0105cych obowi\u0105zkom zwi\u0105zanym z cenami transferowymi.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Do 31 grudnia 2018 r. definicja \u201erestrukturyzacji\u201d obejmowa\u0142a przeniesienie pomi\u0119dzy podmiotami powi\u0105zanymi istotnych ekonomicznie funkcji, aktyw\u00f3w lub ryzyk.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Na podstawie nowych przepis\u00f3w obowi\u0105zuj\u0105cych od 1 stycznia 2019 r. poj\u0119cie restrukturyzacji zosta\u0142o zdefiniowane w rozporz\u0105dzeniu Ministra Finans\u00f3w z dnia 21 grudnia 2018 r. w sprawie cen transferowych w zakresie podatku dochodowego od os\u00f3b prawnych.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Przez \u201erestrukturyzacj\u0119\u201d rozumie si\u0119 reorganizacj\u0119:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">obejmuj\u0105c\u0105 istotn\u0105 zmian\u0119 relacji handlowych lub finansowych, w tym r\u00f3wnie\u017c zako\u0144czenie obowi\u0105zuj\u0105cych um\u00f3w lub zmian\u0119 ich istotnych warunk\u00f3w,<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">wi\u0105\u017c\u0105c\u0105 si\u0119 z przeniesieniem pomi\u0119dzy podmiotami powi\u0105zanymi funkcji, aktyw\u00f3w lub kategorii ryzyka, je\u017celi w wyniku tego przeniesienia przewidywany \u015brednioroczny wynik finansowy podatnika przed odsetkami i opodatkowaniem (EBIT) w trzyletnim okresie po tym przeniesieniu uleg\u0142by zmianie o co najmniej 20% przewidywanego \u015bredniorocznego EBIT w tym samym okresie, gdyby nie dokonano przeniesienia.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Nale\u017cy podkre\u015bli\u0107, \u017ce warunki restrukturyzacji musz\u0105 odpowiada\u0107 zasadzie cen rynkowych a identyfikacja reorganizacji spe\u0142niaj\u0105cej powy\u017csz\u0105 definicj\u0119 restrukturyzacji wi\u0105\u017ce si\u0119 z obowi\u0105zkiem sporz\u0105dzenia dokumentacji cen transferowych oraz analizy danych por\u00f3wnawczych.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">W przypadku je\u015bli Grupa planuje, jest w trakcie lub przeprowadzi\u0142a restrukturyzacj\u0119, oferujemy:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">kompleksowe wsparcie w procesach restrukturyzacyjnych,<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">weryfikacj\u0119 czy przeniesienie danych funkcji, aktyw\u00f3w oraz\/lub ryzyk stanowi restrukturyzacj\u0119 na gruncie przepis\u00f3w o cenach transferowych oraz czy dokonane zosta\u0142o na zasadach rynkowych,<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">okre\u015blenie rynkowego poziomu wynagrodzenia za przeniesienie danych funkcji (aktyw\u00f3w\/ryzyk\/aktyw\u00f3w) w ramach procesu restrukturyzacji (tzw. exit fee) (weryfikacja zasadno\u015bci oraz wysoko\u015bci wynagrodzenia),<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">ocen\u0119 rynkowo\u015bci transakcji z podmiotami powi\u0105zanymi w modelu przed oraz po restrukturyzacji,<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">przygotowanie lub weryfikacj\u0119 posiadanej przez klienta dokumentacji podatkowej dla restrukturyzacji pod k\u0105tem jej zgodno\u015bci z obowi\u0105zuj\u0105cymi przepisami.<\/span><\/li>\n<\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-651c1ee elementor-widget elementor-widget-heading\"
