Baker Tilly Legal Poland and TPA Poland advised companies from the Sabowind GmbH group on the strategic reorganisation of their renewable energy assets

The teams of Baker Tilly Legal Poland and TPA Poland advised companies from the Sabowind GmbH group (the “Sellers”) on two transactions involving the disposal of key assets and operational activities to investors from the renewable energy sector. 

The first transaction concerned the sale to Eurowind Energy spółka z ograniczoną odpowiedzialnością photovoltaic projects and wind farm projects in an early development stage.

The second transaction involved the sale of 100% of the shares in the operating company Windenerg Eksploatacja sp. z o.o., the owner of six wind turbines with a total capacity of 12.3 MW, to a Danish investor  – EUROWIND ENERGY A/S.

Baker Tilly Legal Poland provided the Sellers with comprehensive legal advice, including:

  • supporting the due diligence process,
  • negotiating the transaction documentation, including the share purchase agreement and the project sale agreement,
  • supporting the Sellers throughout the signing and closing of both transactions.

TPA Poland advised the Sellers on the tax structuring of the transaction, the due diligence process and the negotiation of the price and transaction documents.
